Amidst rapidly changing business environments, this committee is being established to meet the expectations of stakeholders, including shareholders, and to achieve "sustainable growth" and "maximization of corporate value in the medium to long term." By combining the objective perspective of corporate management, primarily from outside directors, with the expertise of the executive side (President and CEO) who are intimately familiar with the business realities, the committee will discuss highly effective strategies and build a governance system that can autonomously transform itself to enhance corporate value.

The "Corporate Value Enhancement Committee" is established as an optional advisory body under the Board of Directors, alongside the "Nomination and Compensation Committee" and the "Compliance and Risk Committee."

The committee consists of six members: five outside directors and President and CEO Toshiyuki Sakurai, with President Sakurai serving as the chairman.

Under the new management structure's motto of "review without sacred cows," the focus will be on maximizing corporate value, and the board of directors will function as a forum for discussion that is free from the time and formal constraints associated with statutory resolutions and comprehensive reporting frameworks in the normal operation of the board of directors.

We will conduct multifaceted and continuous discussions and objective evaluations, focusing on "objective calculation and verification of corporate value from a capital market perspective," "formulation of immediate action plans and determination of communication policies with the market," and "review of past investment projects and business plans and recommendations for the medium-term management plan based on these," and then report and submit recommendations to the Board of Directors.
