Subject to approval from the relevant authorities, the company plans to acquire the shares around April 1, 2027. The acquisition price is 192 billion yen, and the total amount, including advisory fees, is approximately 19.35 billion yen.
Mitsubishi Chemical Logistics is a leading logistics company in the chemical and hazardous materials industry, with sales of 80.348 billion yen for the fiscal year ending March 2026. It handles freight trucking, shipping, port transportation, warehousing, customs clearance, and 3PL (Third-Party Logistics), and possesses expertise in transporting a wide range of chemicals, including hazardous materials, toxic substances, and high-pressure gases.
In its medium-term management plan "Harmonized Growth 2030," which concludes in fiscal year 2030, SBSHD aims to expand its business scale and achieve further growth by combining organic growth centered on 3PL and international logistics with inorganic growth through M&A.
This acquisition will allow Mitsubishi Chemical Logistics to maintain its relationships with the Mitsubishi Chemical Group and its major business partners while sharing the infrastructure and logistics expertise of the SBS Group. Through collaboration and synergies in logistics operations, the aim is to accelerate business growth and establish a system to provide high-value-added, comprehensive logistics services across the entire group.
Furthermore, Mr. Tadashi Kusumoto, the current president of Mitsubishi Chemical Logistics, is expected to remain as representative director even after the acquisition of the shares. This will ensure the continuity of business operations while promoting integration with the group.
In addition, as a result of this acquisition of shares, four subsidiaries of Mitsubishi Chemical Logistics are also expected to become part of the SBS group.
